INSIDER INFORMATION ON JEFFERIES FINANCIAL GROUP INC. AND WIND3 (CK Hutchison)

Ok guys, I'm writing this post in a mix of anger, sadness and disbelief. This may be a long ride.

I've been working for Tiscali since mid 2010's, I've dedicated to this company the best years of my life but apparently loyalty is a one way street and I probably won't be employed for much longer, so after some internal struggle I've decided to write this post.

At this very moment I'm 99% sure of the events I'm going to describe and I want to assure you all that I'll do my best to follow-up with new informations and answer all the questions you may have but I want to keep my identity secret since I can get in some real trouble for this.
I'm also confident in the investigative abilities and intuitions of (some) anons, so many of you would be able to solve this puzzle by themselves, once given the right hints and done proper research.

Tiscali was one of many italian telecommucation companies, offering shitty services and fucking costumers like any other telecommunication company, but since 3 years things started to get really weird, even weirder than usual since our first CEO (way before I got hired) was in politics and everything was always done in the classical italian, shady, bribey way.

In summer 2022, following a merger with Linkem s.p.a, all my best and older coworker were sacked in the strangest ways (in the EU we have very strong employees protection laws so that is pratically impossible to fire someone without a very good motivation), some were accused of faking an illness (honest hardworking ppl I know personally) to skip work, others were fired for an "unappropriate" workplace behavior, others for insubordination;
it seemed strange to me that many of our best people, from tech to sales, were fired so abrubtely but at the time, maybe for ingenuity maybe because I was raising in the company hierarchy, I didn't put too many thoughts into it.

Six monts after the merger a new parent company was born, Tessellis s.p.a, where OpNet (Linkem s.p.a new name, 2 monts after the merger) holds 59% of shares.

Now the company structure starts to get a bit messy: OpNet owns most of Tessellis, which is Tiscali parent company but Tiscali somehow manages the Linkem brand (which was OpNet). Buckle up because it will get more messy.

Last year, 2 Feb 2024, Wind3 (Wind Tre) which is in the CK Hutchison group (I'm sure many of you are familiar with this def shady Holding) bought 100% of OpNet and all the child companies WITH THE EXCEPTION of Tessellis (where I work). This is incredibly strange considering that Tessellis is the only company that do some actual work and make some money and also control Linkem that was Opnet main asset. OpNet changed his name again in ShellNet (quite unoriginal and telling name isn't it?!) even if this fact is not well known and OpNet is still largely used even on the webpage.
Jefferies Financial Group, which still controls Tessellis, confirmed the operation worth 520 million dollars.
This operation was ultimately concluded the 1st of August last year.

Right now Jefferies Financial still "owns" Tessellis but CK Hutchison controls Wind3 which owns 100% of ShellNet (ex OpNet) which owns 59% of Tessellis shares. Yeah, I lived these changes first hand and I'm still kinda confused.

Last month, 28 apr 2025, Tessellis administration announced that some the main assets of the child company Tiscali (the one I started to work for) were being "sold" to Shellnet, also in the last couple of monts they're raising our share capital like crazy.

As a result our title is in absolute freefall for no actual reason.

Now the interesting part: the present CEO of Tessellis Davide Rota, also founder of OpNet, is stepping down after meeting with Jeffrey Libshutz (from Jefferies Financial) and two others americans I couldn't recognise.
Usually these meetings happen in Sardinia (because you know, yatchs and bitches) but this time
the weekend was spent in Luxembourg (I saw a receipt from 23 apr) where several thousands euros were spent at Mosconi restaurant, a renowed italian restaurant.
I found weird that ppl in the most luxurious part of Italy were going to Luxembourg to eat italian..
But guess what, that's not far from CK Hutchison european HQ.

After the events of the past days (CEO announced he was stepping down just yesterday) I have no doubt ShellNet is going to assimilate Tessellis too. It just makes so much sense.

This way Wind3 will take a dominant position in the italian telecommunication market (Sardinia is badly served by any other telecommunication operator), TLS:BIT seems to be shorted like there's no tomorrow so CK Hutchison can get those cheap shares and Jefferies Financial can write big red numbers on their accounting book by getting rid of shares at a loss and save a lot on taxes (I guess, any american friend that can help me understand american's financial laws?). All the most important assets were sold previously so Tessellis CdA already filled their pockets

As soon as this new merger will be finalized I'm sure the shares will skyrocket to last year values, because Tessellis will get back all the assets and infrastructure that now are controlled by ShellNet/Wind3 (right now Wind3 owns ShellNet except it's partecipation in Tessellis).

I bought as much as possible at the very bottom (which I hope is the today's value), so please guys, tell me if all of this has any sense.
If my intuition (and poking the nose around the company) is correct, this is a 3x or 4x short term investment opportunity.
My prediction is that this new acquisition (which is long due) will be finalised on the 1st August, because the last two big operations happened on that day in 2022 and 2024.

A: A lot, I'm not a financial expert but even if I don't triple or quadruple the investement (shares went from 0.8 to 0.12 in less than a year) I'm sure that the acquisition will be finalized and I'm sure that will greatly boosts the stock price. Stock price is at the very bottom right now.

right now the company is in a kind of limbo. tessellis is officially still in Jefferies group but most of the shares are owned by ShellNet, owned by Wind3 in the Hutchison group that effectively controls the company. I would say very likely, doubt our board of directors went to Luxembourg for some italian food..
And the recent drop in stock price is too sharp to be just a random fluctation..
Most of the facts here can be checked except for the receipt (I'm working on that) but with some digging the situation would seems extremely strange even from an outsider perspective.

Idk, depends on who your broker is and if allows investement on markets outside the us.
As an Eu citizen I can invest easily on US stocks, dunno the other way around

Don't publish that. Intranet systems put invisible fingerprints of the accessing user account into PDFs and images.
If you still want to publish it, compare its file hash with a download done with another account.
Even if that checks out, it's still very narrow, only a few people will show up in the logs, and you already said when you started working there and that you climbed the ladder a bit.

In more recent years was doing good, there were good expectations when merged with Linkem considering it was leader in FWA tech (the one starlink uses..) and the first in EU to have a STANDALONE national 5G net...

That's not retarded, that's where things usually go wrong, at the most straightforward level.

Our CEO announced he'll stop leading the company just few days ago, the news is not widely known yet so hard to say where the stock will be in the next days.
As far as I can see things are exactly like last year, except the stock price was 5 times higher back then, so a turnaround in the opposite direction seems possible. Again, I'm no financial expert and this is def some high risk operation, that's why I encourage proper research... but yeah a new acquisition seems very likely and that must be good for the stock price

Even if it bounced back to 30 cents or even 50 that would be great. I’ll monitor the stock and the news and slowly build up a presence in it. Its risky, but who knows. Maybe OP isn’t a fag.

OpNet/ShellNet is propped mostly by american groups like blackrock and leucadia.. Jefferies is also american (for Tessellis) so there's no doubt is available somewhere... you guys financed us for decades (but also racked up most of the money)

Any idea on time frames here? If I'm risking it might as well play with options

both Tiscali+Linkem merger and Wind3 acquisition of OpNet happened the 1st of August (which is weird because the only ppl working during summer in Sardinia are concierges, waiters and hoes), but if it's not the 1st of August it will be the end of summer for sure.
